Terms of Service

These Terms of Service ("Terms") govern your access to and use of egi-consulting.com and the services we make available through it, including the Client Dashboard, Survey platform, LLM Assistant, Intake wizard, and related features (together, the "Services"). The Services are operated by EGI Consulting ("EGI", "we", "us", "our"). Please read these Terms carefully.
1. Acceptance and effective date
These Terms are effective May 12, 2026 and are a legally binding agreement between you and EGI. By accessing or using any part of the Services — whether by browsing the marketing site, submitting the contact form, signing in to the Client Dashboard, taking a survey, or chatting with the LLM Assistant — you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services.
If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity, and "you" refers to that entity together with your individual self.
2. The Services
EGI is a market research and competitive intelligence firm. Through the Services we make the following available:
- Marketing surfaces. Public pages describing our work, the consultation-request contact form, and the public Arcade. No account is required.
- Client Dashboard. Per-client portal that surfaces engagement deliverables, reports, the Market Pulse intelligence widget, and intake artifacts. Account required.
- Survey platform. Authoring, themes, contact list management, invitation campaigns, scheduled reminders, response collection (including public-link surveys distributed via a secure token), reports, and exports. Account required for authoring; respondents do not need an account.
- LLM Assistant. A private chat surface backed by a self-hosted local model. Optional features include uploaded documents for retrieval-augmented chat, a code sandbox, an artifact builder, and a self-hosted web search. Account and per-feature access required.
- Intake wizard. Administrator-only tool used to scope a new engagement.
We may add, change, or remove features at any time. We do not promise that any specific feature, integration, or model will remain available, and we do not promise specific performance levels other than what is set out in a signed agreement with you. Some features are gated by per-user flags managed by us; access is granted at our discretion as part of an engagement.
3. Eligibility and account registration
3.1 Eligibility
To use any authenticated part of the Services, you must:
- Be at least eighteen years old and able to form a binding contract under applicable law;
- Not be located in, ordinarily resident in, or a national of any country or region subject to U.S. comprehensive economic sanctions (including, as of the effective date, Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, Luhansk, and Zaporizhzhia regions);
- Not appear on any U.S. government denied-parties list, including the Specially Designated Nationals List maintained by the Office of Foreign Assets Control;
- Not have been previously suspended or terminated by EGI for breach of these Terms.
3.2 Accounts
If we issue you an account, you are responsible for:
- Providing accurate registration information and keeping your contact information up to date;
- Maintaining the confidentiality of your credentials and any session in your name;
- Not sharing your account with anyone else — one account per person;
- Notifying us promptly at [email protected] if you suspect unauthorized access to your account;
- All activity that occurs under your account, whether or not authorized.
We may refuse to create, may suspend, or may close any account at our reasonable discretion, including for inactivity, suspected abuse, or in response to a legal request.
4. Acceptable use
You agree not to use the Services to do any of the following, and not to assist anyone else to do so:
4.1 General prohibitions
- Violate any law, regulation, or third-party right;
- Send unsolicited bulk communication, spam, phishing, malware, or other harmful or deceptive content through any communications feature of the Services, including the survey invitation system;
- Probe, scan, or test the vulnerability of any system or network without our prior written authorization, or breach or otherwise circumvent any security or authentication measures;
- Use automated means (scrapers, robots, headless browsers, scripted clients) to access, copy, or extract data from the Services other than through documented APIs and within applicable rate limits; attempting to circumvent a rate limit is a breach of these Terms;
- Reverse engineer, decompile, disassemble, or attempt to derive the source code or non-public methodology of the Services, except to the extent that this prohibition is expressly disallowed by mandatory applicable law;
- Resell, sublicense, or repackage the Services without our written consent;
- Impersonate another person or organization or misrepresent your affiliation;
- Attempt to access, read, modify, or interfere with another customer's data or sessions.
4.2 Survey platform misuse
When you use the Survey platform to author or distribute a survey, you additionally agree that:
- You will only contact recipients for whom you have a lawful basis (such as their consent, an existing contractual relationship, or another basis that satisfies CAN-SPAM, CASL, GDPR, and any other anti-spam or privacy law that applies to your campaign);
- You will provide accurate from and reply-to information in every campaign, and will not use forged headers or misleading subject lines;
- You will honor opt-out and unsubscribe requests promptly;
- You will not use the platform to collect special category personal data (race, religion, health, sexual orientation, biometric or genetic data, etc.) without the proper legal basis and any consent required by applicable law;
- You will not use the platform to run deceptive surveys (e.g., a pretextual survey for lead generation that misrepresents its purpose to respondents);
- You will not transmit information about minors without the consent required by COPPA or any applicable foreign equivalent.
We monitor abuse signals (bounce rates, complaint rates, spam-trap hits, recipient reports). We may suspend a campaign, throttle delivery, disable a contact list, or terminate the responsible account if abuse signals exceed reasonable thresholds.
4.3 LLM Assistant misuse
You agree not to use the Assistant to:
- Generate or distribute content that is unlawful, defamatory, harassing, sexually explicit, or that depicts the sexual abuse of minors;
- Generate malware, exploit code, instructions for inflicting serious harm, or content designed to facilitate real-world violence;
- Create non-consensual sexual imagery of real people, or create realistic impersonations ("deepfakes") of identifiable people without their consent and a lawful basis;
- Generate content that infringes a third party's intellectual property rights;
- Attempt to extract, fingerprint, or jailbreak the underlying model in a way that would expose other users' data or our internal configuration.
You acknowledge that the Assistant runs on a local model server, that you are responsible for evaluating the accuracy and appropriateness of any output you rely on, and that EGI may, at our discretion, log and review Assistant content suspected of violating these Terms in order to respond to abuse.
5. Intellectual property
5.1 EGI's intellectual property
EGI owns all right, title, and interest in and to the Services, including the website, the Dashboard, the Survey platform code, the LLM Assistant interface and prompts, the Intake wizard, our research methodologies, our reports, our trademarks (including the EGI Consulting wordmark and the unicorn mark), and any feedback or suggestions you provide to us. Subject to your compliance with these Terms, EGI grants you a limited, revocable, non-exclusive, non-sublicensable, non-transferable license to access and use the Services for their intended purpose. All rights not expressly granted to you are reserved by EGI.
5.2 Customer content
You retain ownership of the content you submit through the Services, including the surveys you author, the contact lists you upload, the responses your respondents submit, the documents you upload to the Assistant for retrieval, the code you run in the sandbox, the artifacts you generate, and the chat messages you send ("Customer Content"). You grant EGI a worldwide, royalty-free license to host, store, transmit, process, display, and create derivative works of Customer Content solely to the extent necessary to provide the Services and to comply with law. We will not use Customer Content to train any model.
5.3 Deliverables under a separate engagement
Where EGI delivers a custom research report or other deliverable to you under a signed engagement contract, that contract — not these Terms — governs ownership and licensing of the deliverable.
5.4 Third-party content
The Market Pulse widget surfaces information drawn from public sources, including Google Trends and Google News. The underlying data and content remain the property of their respective owners and are subject to the terms of those sources. EGI claims no ownership over third-party content and provides it on an as-is, informational basis only.
5.5 Feedback
If you send us suggestions, feature requests, or other feedback, you grant EGI a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose without compensation or attribution.
6. Disclaimer of warranties
The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, EGI disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including any warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy of data, uninterrupted operation, security, or that the Services will be free of viruses or other harmful components.
Research outputs are informational, not advice. Reports, dashboards, Market Pulse signals, and any insights derived from the Services are inputs to your own decision-making. They are not financial, legal, medical, tax, or other professional advice, and should not be relied upon as such.
LLM Assistant outputs may be inaccurate. The Assistant is a generative AI tool that can produce content that is plausible-sounding but factually wrong, incomplete, biased, or out-of-date. Outputs may include errors, hallucinations, or content that infringes third-party rights. You must independently verify any Assistant output before relying on it, and must not use the Assistant as a substitute for advice from a qualified professional in regulated fields (including law, medicine, finance, accounting, and compliance).
Market data is scraped from public sources. The Market Pulse widget aggregates third-party signals without any warranty as to completeness, freshness, ranking accuracy, or fitness for any specific decision.
Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the exclusions above apply only to the extent permitted by law.
7. Limitation of liability
To the maximum extent permitted by applicable law:
- EGI will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of business, loss of goodwill, loss of data, or cost of substitute services, even if EGI has been advised of the possibility of such damages and even if a remedy fails of its essential purpose;
- EGI's total aggregate liability for any and all claims arising out of or relating to these Terms or the Services, whether in contract, tort (including negligence), strict liability, or any other legal theory, will not exceed the greater of (a) one hundred U.S. dollars ($100 USD) or (b) the total fees you paid to EGI for the Services in the twelve months immediately preceding the event giving rise to the claim.
Nothing in this Section 7 limits liability that cannot be limited under applicable law, including liability for fraud, willful misconduct, gross negligence, or, where applicable, death or personal injury caused by negligence. Some jurisdictions do not allow the limitation of liability for incidental or consequential damages, so portions of the limitation above may not apply to you.
The parties acknowledge that the limitations of liability in this Section reflect the agreed allocation of risk between them and that EGI would not provide the Services on these terms without these limitations.
8. Indemnification
8.1 By you
You will defend, indemnify, and hold harmless EGI, its officers, directors, employees, and agents from and against any third-party claims, demands, suits, or proceedings, and any related losses, damages, liabilities, settlements, costs, and reasonable attorneys' fees, arising out of or relating to:
- Your Customer Content, including a claim that it infringes a third party's intellectual property, privacy, or publicity rights;
- Your use of the Survey platform to contact recipients without a lawful basis, or in violation of CAN-SPAM, CASL, GDPR, or any other anti-spam, telemarketing, or privacy law;
- Your violation of these Terms or of any applicable law or regulation;
- Your gross negligence or willful misconduct.
8.2 By EGI
EGI will defend, indemnify, and hold harmless you from and against any third-party claim alleging that your authorized use of the Services as delivered and unmodified by you infringes a U.S. patent, copyright, or registered trademark of that third party. EGI's obligation under this paragraph is subject to the limitation of liability in Section 7 and does not apply to claims caused by (a) Customer Content, (b) your combination of the Services with anything not provided by EGI where the infringement would not have arisen but for the combination, (c) your modification of the Services, or (d) your continued use of the Services after we have provided a non-infringing alternative.
8.3 Procedure
The party seeking indemnification will (a) promptly notify the indemnifying party in writing of the claim, (b) give the indemnifying party sole control of the defense and settlement of the claim (provided that no settlement may admit fault by or impose non-monetary obligations on the indemnified party without that party's consent, which will not be unreasonably withheld), and (c) provide reasonable cooperation at the indemnifying party's expense.
9. Term and termination
9.1 Term
These Terms apply for as long as you access or use the Services.
9.2 Termination by you
You may stop using the Services at any time. If you have an account, you may request account closure and deletion by emailing [email protected]. Account deletion is processed under the data-retention process described in the Privacy Policy.
9.3 Termination or suspension by EGI
We may suspend or terminate your access to the Services, in whole or in part, immediately and without notice, if we reasonably believe that:
- You have breached these Terms;
- Your account is being used for fraud, abuse, or activity that poses a risk to EGI, to other users, or to the public;
- We are required to do so by law or by a binding order of a court or regulator;
- Your account has been inactive for an extended period.
We may also terminate or modify the Services as a whole (for any reason or no reason, and with or without prior notice), in which case we will use reasonable efforts to notify active customers in advance.
9.4 Effects of termination
Upon termination, your license to use the Services ends, and we may, subject to legal-retention obligations, delete or de-identify your account data on the schedule described in the Privacy Policy. The following sections survive any termination of these Terms: 5 (Intellectual property), 6 (Disclaimer of warranties), 7 (Limitation of liability), 8 (Indemnification), 9.4 (this section), and 10 (Governing law, disputes, and contact), along with any other provision that by its nature should survive.
10. Governing law, disputes, and contact
10.1 Governing law
These Terms, and any dispute arising out of or related to them or to your use of the Services, are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
10.2 Informal resolution
If you have a dispute with EGI, we ask that you first try to resolve it informally by emailing [email protected] with a clear description of the issue and the relief you are seeking. The parties agree to negotiate in good faith for thirty days from the date of that email before initiating any formal proceeding.
10.3 Venue and dispute resolution
If informal resolution does not succeed within the thirty-day period, any dispute that remains will be resolved as follows:
- Mediation. The parties will first attempt to resolve the dispute by non-binding mediation in Casper, Wyoming, under the rules of a mediator mutually agreed upon by the parties; each party will bear its own costs and will share the mediator's fee equally.
- Binding arbitration. If mediation does not resolve the dispute within sixty days after a written demand for mediation, the dispute will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with one arbitrator selected by mutual agreement (or by the AAA if the parties cannot agree). The seat of arbitration is Casper, Wyoming. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
- Court venue carve-out. Notwithstanding the above, either party may bring an action in the state or federal courts located in Natrona County, Wyoming for (a) injunctive or other equitable relief to protect intellectual property or confidential information, (b) collection of undisputed amounts due, or (c) any small-claims matter that is within the jurisdiction of a small-claims court. The parties consent to the exclusive personal jurisdiction and venue of those courts for those purposes.
10.4 Class-action and jury-trial waivers
To the maximum extent permitted by applicable law, both parties waive any right to participate in a class action, class arbitration, or consolidated proceeding against the other in connection with these Terms or the Services. Disputes will be resolved on an individual basis. To the maximum extent permitted by applicable law, both parties also waive any right to a trial by jury. These waivers do not apply to the extent they are unenforceable under applicable law.
10.5 Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy and any signed agreement between you and EGI, constitute the entire agreement between the parties regarding the Services and supersede any prior or contemporaneous understandings.
- Severability. If any provision is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- No third-party beneficiaries. These Terms do not create any third-party-beneficiary rights.
- Updates. We may update these Terms by posting a revised version with a new "Last updated" date. Material changes will be highlighted; your continued use of the Services after the effective date of the change constitutes acceptance.
- Notices to us must be sent to the address below. Notices to you may be sent to the email address on your account or posted on the Services.
